These Terms of Service (“Terms”) are an agreement between you and Teleport Ecosystem, LLC, a company headquartered in Irvine, California (“Teleport”, “we”, “us”). They cover the Teleport website, the app at app.teleport.eco, the Teleport API, the MCP server, Spot It, and any other product or service that links to these Terms (together, the “Service”). By creating an account, accepting these Terms when asked, or using the Service, you agree to them. If you use the Service for an organization, you agree for that organization and confirm that you can bind it. If you don’t agree, don’t use the Service.

SECTION 10 CONTAINS AN AGREEMENT TO RESOLVE DISPUTES BY INDIVIDUAL BINDING ARBITRATION AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS. YOU CAN OPT OUT OF ARBITRATION WITHIN 30 DAYS AS SECTION 10.5 EXPLAINS. THESE PROVISIONS APPLY ONLY TO THE EXTENT THE LAW WHERE YOU LIVE ALLOWS.

1. The Teleport Service

1.1 What Teleport does. Teleport lets people, businesses, AI agents and machines ask for physical work, routes each task to someone or something that can do it, checks the result against the evidence the task requires, and records accepted work as a Proof of Physical Work. Teleport can also check work done elsewhere (“verify-only” tasks) and suggest work it detects in images you send (Spot It).

1.2 Requesters and performers. In these Terms:

  • “Requester” means anyone who posts a task, sets up a rule that posts tasks, or has a task posted for them, including an organization acting through its people, keys, agents or devices.
  • “Performer” means anyone who accepts and does a task, including a person, and an organization or person operating a robot, drone or other machine. A performer is responsible for any machine it uses as for its own acts.
  • “Task” means a request for a physical outcome made through the Service, together with its specification: what done looks like, who may do it, the evidence that counts, the verification policy, and the price.

1.3 Teleport’s role. Teleport provides the Service that connects requesters and performers, checks evidence, and issues proofs. Unless we agree otherwise in writing, Teleport is not a party to the arrangement between a requester and a performer, doesn’t direct or supervise how a performer does the work, and doesn’t guarantee that any task will be done, done well, or done safely. Teleport may post and pay for tasks for its own purposes, and may run tasks for a customer under a separate written agreement; in those cases that agreement also applies.

1.4 Preview, beta and pilot features. Some features are labelled preview, beta or pilot. They may change, be limited, or be withdrawn, and may not be available to everyone. Examples, prices and receipts shown on the website are illustrations, not offers.

1.5 Eligibility. You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. or other applicable sanctions or restricted-party list. We may ask you to verify your identity, age, location, organization or payment details, and may limit what you can do until you do. Verification is not an endorsement or a background check.

2. Accounts, Keys and Automation

2.1 Your account. Give accurate information and keep it current. Each person may hold one personal account; organizations may have several people and keys under one organization. Keep your password and sign-in methods secure and tell us at support@teleport.eco if you think your account has been used without your permission. You are responsible for what happens under your account unless it was caused by our failure to protect it.

2.2 API keys and access tokens. API keys and OAuth access tokens act for your account or organization. Keep them secret, give them only to systems you control, and revoke them if they may have leaked. Everything done with your keys or tokens is treated as done by you. We may revoke a key or token that is leaked, abused, or used to get around limits.

2.3 AI agents, robots and devices. If an AI agent, robot, device or other automated system posts tasks, spends, communicates or acts through the Service for you:

  • a person or organization must be accountable for it on Teleport (for example by claiming the agent), and it must stay within the limits that person or organization sets, such as spend, place, task type, and when a person must approve;
  • it must not pretend to be a person, and its messages must make clear they are automated where that matters;
  • you are responsible for everything it does, including tasks it posts and payments it commits to, as if you had done it yourself.

3. Tasks

3.1 Posting a task. When you post a task, or set up a rule that posts tasks, you agree to:

  • describe it accurately and completely, including what done looks like, where it happens, any hazards, and anything a performer needs to know to do it safely;
  • post only tasks that are lawful, that can be done safely, and that you have the right to have done, including the permission of whoever controls the place where the work happens;
  • not ask for anything whose subject is the identity, presence, behavior or performance of a person who isn’t the performer;
  • pay the price you agreed for work that is accepted, through the Service.

3.2 Doing a task. When you accept a task, you agree that you:

  • are allowed to do that work where it happens, and hold any license, permit, registration or insurance it requires;
  • will do it yourself, or with helpers or machines you are responsible for, safely, lawfully and as the task describes;
  • will take evidence only where, when and how the task asks, and never fabricate, edit, stage, reuse or misattribute evidence;
  • will respect people and property, and return anything you are given to do the work;
  • will stop and report the task if it turns out to be unsafe, unlawful or not as described.

3.3 The task agreement. When a performer accepts a task, the requester and the performer agree with each other to the task’s specification and these Terms. Teleport is not a party to that agreement unless Teleport is the requester. We may decline, pause or cancel any task we reasonably believe is unsafe, unlawful, fraudulent, or against these Terms or the Acceptable Use Policy.

3.4 Evidence and verification. Each task names a verification policy. Work is accepted or rejected under that policy using the evidence submitted, rule checks, automated analysis and, where the policy requires, human review. We record how evidence was produced (its origin), and stronger evidence may be required for some tasks. Our decision under the policy is final for the purpose of the Service, subject to any dispute process we offer and to Section 10. A rejection does not by itself mean anyone acted in bad faith.

3.5 Proofs of Physical Work. When a task is accepted, Teleport may issue a Proof of Physical Work: a cryptographic receipt whose hash is anchored on a public blockchain (currently Base). Proofs commit to hashes of the task, evidence and verification records, not to raw media or personal information. A proof records what was checked and how strong the evidence was. It is not a guarantee that work was done correctly, safely or lawfully, and not a certification, inspection, warranty or insurance. Records on a public blockchain can’t be changed or deleted.

3.6 Spot It and cameras. Spot It analyses photos, frames sampled from videos, and camera images you submit, and suggests work that may be needed. Its findings are automated suggestions: they can be wrong or incomplete, and they are not a safety, health, fire or building-code inspection. You decide whether to post a task, and you remain responsible for dealing with hazards whether or not Spot It finds them. You may submit images and connect cameras only if you have the right to, including any notice, signage or consent required where the camera is. Faces are blurred before analysis on a best-effort basis. Spot It looks at spaces, never at people; don’t use it to monitor, identify, track or evaluate anyone.

3.7 Independent relationship. Performers are independent. Nothing in these Terms makes a performer an employee, worker, agent or contractor of Teleport, or makes Teleport an employer, joint employer or employment agency of anyone. Teleport doesn’t set performers’ hours, supply their tools, or control how they do the work. Teleport doesn’t provide workers’ compensation, occupational accident, liability or other insurance, and doesn’t withhold taxes or run payroll for anyone.

3.8 Safety. Teleport isn’t present when work happens and can’t make it safe. Requesters and performers are each responsible for their own safety and conduct and for following the law. In an emergency, contact local emergency services first. Report unsafe tasks or behavior to support@teleport.eco.

4. Payments

4.1 Prices and fees. A task’s price and Teleport’s fees (such as a service fee or verification fee) are shown before you commit. We may change our fees for future tasks; the fees shown when you commit apply to that task. Fees paid to Teleport are non-refundable, except where the law requires a refund or where we say otherwise in writing.

4.2 How payment works. Depending on the task and your account, you may pay by invoice, through a third-party payment processor, or in USDC on Base (for example through the x402 payment flow). Payment processors’ own terms also apply. Where we collect payment for a performer, we do so as the performer’s limited agent: once we receive a payment for accepted work, the requester’s obligation to pay that amount is met.

4.3 Paying performers. Performers are paid for accepted work, on the timing shown for the task. We may hold, delay or reverse a payment while evidence is reviewed, a dispute or chargeback is open, or we investigate suspected fraud or a breach of these Terms, and we may withhold amounts a performer obtained by breaking them.

4.4 Keep payments on Teleport. Don’t ask for, offer, make or accept payment for a task outside the Service, and don’t use Teleport to find someone and then deal with them elsewhere to avoid our fees or checks.

4.5 Digital assets. Blockchain transactions can’t be reversed. You are responsible for the wallets and addresses you use and for any network fees. Teleport doesn’t provide custody of your assets. $PORT is not a means of payment for tasks; see Section 7.

4.6 Chargebacks and taxes. If you dispute a charge with your bank or card issuer, we may suspend your account while we look into it. Each of us is responsible for our own taxes: performers for tax on what they earn, requesters for any sales, use or similar taxes on what they pay, except taxes we are required to collect, which we’ll show.

5. Content, Data and Intellectual Property

5.1 Your content. You keep ownership of what you submit: task details, evidence, images, messages and other content (“Your Content”). You give Teleport a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, copy, process, transmit, display and use Your Content to provide, secure and improve the Service, including to verify work and issue proofs, and, where the law allows and as our Privacy Notice describes, to develop and improve our models and features using redacted, de-identified or aggregated data. The license continues for content already used in a proof, a dispute or a de-identified dataset.

5.2 Your promises about content. You confirm that you have the rights needed to submit Your Content and grant this license, that it is accurate and not misleading, and that it doesn’t infringe anyone’s rights, break the law, or contain malicious code.

5.3 Privacy. How we collect and use personal information is described in our Privacy Notice, which forms part of how we provide the Service.

5.4 Automated outputs. The Service uses automated systems, including AI models, to suggest tasks, analyse images and evidence, and draft or check specifications. Outputs can be wrong. They are not professional, legal, safety, medical or financial advice. Check them before you rely on them; you remain responsible for your decisions and for any work you ask for or do.

5.5 Teleport’s rights. The Service, its software, design and content, and the Teleport name and marks belong to Teleport or its licensors. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. The TAP specification and its documentation are made available under the Creative Commons Attribution 4.0 International licence (CC BY 4.0); code samples on the developers pages may be copied and used freely.

5.6 Feedback. If you send us ideas or suggestions about the Service, we may use them without restriction or payment to you.

5.7 Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to support@teleport.eco that identifies the work, where the infringing material is, your contact details, a statement of good-faith belief that the use isn’t authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your signature. We respond to notices that meet 17 U.S.C. §512 and may close the accounts of repeat infringers.

6. Rules and Enforcement

6.1 Acceptable use. You must follow the Acceptable Use Policy, which is part of these Terms, and any other rules we post for a feature you use.

6.2 What we may do. If we reasonably believe you have broken these Terms, put others at risk, or exposed Teleport to legal or security risk, we may remove content, cancel or pause tasks, decline or withhold proofs and payments as Sections 3.4 and 4.3 allow, revoke keys and connections, limit features, or suspend or close your account. Where practical and lawful we’ll tell you why. You may not open another account to get around a suspension.

6.3 Ending the agreement. You can stop using the Service and close your account at any time. When an account closes, your right to use the Service ends, your keys are revoked, and amounts already owed remain owed. Sections 3.3 to 3.8, 4, 5, 7, 8, 9, 10 and 11 continue after the agreement ends, as does anything else that by its nature should.

7. $PORT

Nothing in the Service is an offer to sell, or a solicitation to buy, $PORT or any other digital asset, or investment, tax or legal advice. $PORT is described as an asset that secures the proof network. It is not payment for tasks and not an investment, and Teleport makes no claims about its price or returns. Dollars, USDC and other supported methods pay for work; Proofs of Physical Work record it.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, TELEPORT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TELEPORT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE; THAT ANY TASK WILL BE COMPLETED, OR COMPLETED SAFELY, LAWFULLY OR WELL; THAT ANY REQUESTER, PERFORMER, AGENT OR DEVICE IS WHO OR WHAT THEY CLAIM; OR THAT AUTOMATED OUTPUTS, SPOT IT FINDINGS, VERIFICATION RESULTS OR PROOFS ARE ACCURATE OR COMPLETE. SOME JURISDICTIONS DON’T ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

9. Limitation of Liability and Indemnity

9.1 Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS: (A) TELEPORT AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS, INCLUDING FROM TASKS, THE CONDUCT OF REQUESTERS, PERFORMERS, AGENTS OR DEVICES, PHYSICAL INJURY OR PROPERTY DAMAGE DURING A TASK, PAYMENTS OR BLOCKCHAIN TRANSACTIONS, OR RELIANCE ON AUTOMATED OUTPUTS OR PROOFS; AND (B) TELEPORT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE LESSER OF THE FEES YOU PAID TO TELEPORT IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND US$100.

Nothing in these Terms limits liability that the law doesn’t allow to be limited, such as for fraud, or for death or personal injury caused by negligence where that can’t be excluded.

9.2 Your indemnity. You will defend, indemnify and hold harmless Teleport and its affiliates, officers, employees and agents against claims, losses and costs (including reasonable legal fees) arising from your use of the Service; tasks you post, accept or perform; Your Content; the actions of your agents, devices, helpers and keys; your breach of these Terms or the law; or any claim that you are Teleport’s employee or worker. We may take control of the defense of a claim at our cost, and you may not settle one that affects Teleport without our written consent.

10. Disputes and Arbitration

10.1 Talk to us first. Before starting arbitration or a court case, send a written notice to support@teleport.eco with your name, address, a description of the dispute and what you’re asking for. If we can’t resolve it within 45 days, either of us may start a proceeding as this Section allows.

10.2 Agreement to arbitrate. Except as Sections 10.4 and 10.5 provide, you and Teleport agree to resolve any dispute arising from or relating to the Service or these Terms, whatever the legal theory, by final and binding individual arbitration, and not in court. This includes disputes about the scope or enforceability of this agreement to arbitrate, except that a court decides whether the class waiver in Section 10.3 is enforceable. The Federal Arbitration Act governs this Section.

10.3 No class actions or jury trials. You and Teleport may bring claims against each other only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding, and the arbitrator may not consolidate claims or award relief to anyone other than the individual party. You and Teleport each give up the right to a jury trial.

10.4 Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies, and either of us may ask a court for an injunction to protect intellectual property or to stop unauthorized access to the Service.

10.5 Opting out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@teleport.eco with your name, address and a clear statement that you opt out of arbitration. Opting out doesn’t affect anything else in these Terms or your use of the Service.

10.6 How arbitration works. The American Arbitration Association administers the arbitration under its Commercial Arbitration Rules (or its Consumer Arbitration Rules where they apply), before a single arbitrator, in English. Unless the parties agree otherwise, it is conducted in writing, by phone or online; any in-person hearing will be in Los Angeles County, California. Your share of filing and arbitrator fees will not exceed what you would pay to file in court, and the arbitrator decides any disagreement about fees. Judgment on the award may be entered in any court with jurisdiction.

10.7 Governing law and courts. These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute not subject to arbitration will be heard only in the state or federal courts for Los Angeles County, California, and you and Teleport consent to their jurisdiction.

11. General

11.1 Changes to these Terms. We may update these Terms. We’ll change the date above and, for material changes, give notice through the Service or by email before they take effect. If you keep using the Service after changes take effect, you accept them; if you don’t agree, stop using the Service.

11.2 Notices and electronic communications. You agree that we may give notices and other communications electronically, by email or through the Service, and that they satisfy any requirement to be in writing. You agree to transact and sign electronically.

11.3 Calls and text messages. If you give us a phone number, you agree that we may call or text it about your account, tasks, security and service issues, including by automated means. Message and data rates may apply. Reply STOP to stop texts, or contact support@teleport.eco to change your preferences; we won’t send marketing texts without your separate consent.

11.4 Mobile apps. If you get a Teleport app from an app store, the store’s terms also apply to your use of it. These Terms are between you and Teleport, not the app store, which has no responsibility for the app or obligation to support it, and which may enforce this paragraph as a third-party beneficiary.

11.5 Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them, for example in a reorganization, merger or sale.

11.6 Entire agreement and interpretation. These Terms, the Acceptable Use Policy, and any terms shown for a specific feature or task are the whole agreement between you and Teleport about the Service. If a provision is unenforceable, it will be limited to the minimum extent needed and the rest stays in effect. Not enforcing a provision isn’t a waiver. No one else has rights under these Terms except as they state.

11.7 Contact and California notice. Questions about these Terms: support@teleport.eco. The Service is provided by Teleport Ecosystem, LLC, 530 Technology Dr, Suite 100, Irvine, CA 92618. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

11.8 California Civil Code §1542. In any release you give under these Terms, you waive California Civil Code §1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” If you live elsewhere, you waive any similar law.
